These Terms of Service (“Terms”) govern your access to and use of the website, software, AI systems, communications tools, chatbot services, AI receptionist services, automations, and related products and services offered by Agentex AI (“Agentex AI,” “we,” “us,” or “our”).
By accessing, purchasing, using, or interacting with our website or services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Scope of Services
Agentex AI provides AI-powered business services, including but not limited to:
AI-powered receptionists
AI chatbots
customer communication automations
conversational AI systems
workflow and lead-handling automation
related implementation, support, optimization, consulting, and managed services
Our services may be delivered through custom setups, subscription-based service plans, one-time implementation projects, integrations, third-party platforms, and other software or communications systems we operate or configure for clients.
We may modify, update, improve, suspend, or discontinue any aspect of the services at any time, with or without notice, subject to any separate written agreement with a client.
3. Eligibility
Agentex AI’s services are intended for businesses only. By using our services, you represent and warrant that:
you are using the services on behalf of a business or commercial organization, or with authority to bind that business or organization;
you are legally capable of entering into a binding contract;
all information you provide to us is accurate and complete; and
your use of the services will comply with these Terms and all applicable laws.
We reserve the right to refuse service to any person, company, or entity at our discretion.
4. Business Use Only
Our services are offered for commercial and business purposes only. You may not use the services for personal, household, or consumer purposes unless we expressly agree otherwise in writing.
If you are using the services on behalf of a company, organization, or client, you represent that you have the authority to bind that entity to these Terms.
5. Accounts and Access
To access certain services, you may be required to provide account, business, billing, technical, or integration information. You agree to provide current, accurate, and complete information and to keep it updated.
You are responsible for:
maintaining the confidentiality of account credentials and access details;
all activity that occurs through your accounts, systems, phone numbers, integrations, and connected tools under your control;
ensuring that only authorized personnel use the services on your behalf; and
promptly notifying us of any unauthorized access, security incident, or misuse.
We are not responsible for losses caused by your failure to secure your accounts, credentials, systems, or connected platforms.
6. Fees, Billing, and Payment Terms
A. Pricing Model
Agentex AI may charge for services through one or more of the following models:
monthly subscriptions
one-time setup or implementation fees
custom project fees
usage-based or service-based charges, where applicable
trial access, where offered
The specific fees, pricing structure, and scope of services will be set out on our website, proposal, invoice, service order, or separate client agreement.
B. Payment Obligations
You agree to pay all fees, charges, taxes, and other amounts due for the services you purchase. Unless otherwise stated in writing:
subscription fees are billed on a recurring monthly basis;
one-time fees are due when invoiced or as otherwise agreed;
all payments must be made in the currency and payment method specified by Agentex AI;
failure to pay may result in suspension or termination of services.
C. Free Trials
If we offer a free trial, we may limit the scope, duration, features, or eligibility for that trial. We may modify or end a trial at any time.
D. No Refunds
Unless required by applicable law or expressly agreed in writing, all fees are non-refundable, including subscription fees, setup fees, implementation fees, and prepaid service charges. If you cancel your subscription, you will continue to have access through the end of the paid billing period unless we state otherwise.
E. Subscription Renewal and Cancellation
Subscriptions may renew automatically on a recurring basis unless canceled before the next billing cycle. You may cancel at any time, but cancellation does not entitle you to a refund for amounts already paid, except where required by law.
F. Late or Failed Payments
If a payment is late, declined, reversed, or unpaid, we may:
suspend service access,
disable automations or connected systems,
withhold deliverables,
charge reasonable collection costs where permitted, and/or
terminate the applicable services.
7. Client Responsibilities
You are responsible for all content, data, instructions, contacts, prompts, campaigns, messages, phone numbers, workflows, and business activities you submit to or process through our services.
You agree to use the services lawfully, responsibly, and only for legitimate business purposes. You are solely responsible for:
obtaining all necessary permissions, consents, notices, and legal authorizations needed for your use of the services;
ensuring that your business practices, outreach, calls, text messages, chatbot flows, recordings, marketing, and automations comply with applicable law;
reviewing AI outputs before relying on them for business, legal, financial, customer-facing, or operational decisions;
maintaining backup copies of important business data where appropriate; and
ensuring that any data, content, or instructions you provide do not violate law or third-party rights.
8. Prohibited Uses
You may not use the services, and may not permit any third party to use the services, to:
violate any applicable law, regulation, court order, or third-party right;
infringe, misappropriate, or violate intellectual property, privacy, publicity, confidentiality, or contractual rights;
create, distribute, promote, or facilitate illegal, fraudulent, deceptive, abusive, defamatory, harassing, threatening, or harmful content;
use AI-generated communications for unlawful spam, robocalling abuse, deceptive impersonation, or misleading outreach;
submit or process data that you do not have the right to use;
use the services to create malware, phishing campaigns, scams, harmful code, or abusive automation;
reverse engineer, decompile, disassemble, scrape, copy, or attempt to extract source code, prompts, system architecture, models, or non-public functionality from the services, except where prohibited by law;
interfere with, disrupt, damage, disable, or impair our services, infrastructure, security, or connected systems;
bypass usage limits, access controls, authentication, security features, or technical restrictions;
use the services to build a competing product using our proprietary systems, prompts, workflows, or materials without authorization;
submit content that is unlawful, infringing, or harmful to minors;
use the services in a manner that creates an unreasonable burden on our infrastructure or third-party providers; or
use the services for any high-risk or prohibited activity that we identify from time to time.
We may investigate suspected misuse and take any action we deem appropriate, including suspension, termination, removal of content, denial of access, or cooperation with law enforcement.
9. AI-Specific Terms
A. Nature of AI Services
Agentex AI provides services that may rely on artificial intelligence, automation, language models, machine-generated responses, and third-party AI systems. AI outputs may be probabilistic, incomplete, inaccurate, biased, outdated, or otherwise imperfect.
B. No Guarantee of Accuracy
You acknowledge and agree that:
AI-generated outputs may contain errors, omissions, hallucinations, or misleading content;
AI tools may misunderstand prompts, context, or user intent;
automated responses may not always reflect the best or correct answer;
you are responsible for reviewing and validating outputs before using them in customer-facing, legal, financial, medical, compliance, or operational contexts.
C. Client Responsibility for Use of Outputs
You are solely responsible for how you use, rely on, publish, send, or act on AI outputs, automations, chatbot responses, call flows, lead handling, and communications generated or enabled through our services.
D. No Professional Advice
Unless expressly stated in a separate written agreement, the services and outputs provided by Agentex AI do not constitute legal, financial, medical, accounting, employment, tax, or other regulated professional advice.
E. Third-Party AI Providers
Some features may rely on third-party AI, telephony, CRM, hosting, messaging, or infrastructure providers. We are not responsible for outages, policy changes, restrictions, pricing changes, performance issues, or acts/omissions of those third-party providers.
10. Client Data and Content
A. Client Ownership
As between you and Agentex AI, you retain ownership of the data, text, files, prompts, recordings, business materials, customer information, and other content you provide to us or process through the services (“Client Content”), subject to the rights you grant us under these Terms.
B. License to Agentex AI
You grant Agentex AI a non-exclusive, worldwide, royalty-free license to host, use, process, transmit, reproduce, analyze, display, and otherwise handle Client Content as reasonably necessary to:
provide the services,
maintain and support the services,
configure, troubleshoot, and improve service delivery,
generate outputs and automations,
enforce these Terms,
comply with legal obligations, and
protect our systems, business, and users.
C. Your Responsibility for Client Content
You represent and warrant that you have all rights, permissions, and legal authority needed to provide Client Content to Agentex AI and to allow us to process it for the purposes of providing the services.
You are solely responsible for the legality, accuracy, integrity, and appropriateness of Client Content and for ensuring that it does not violate law or third-party rights.
11. Intellectual Property Rights
A. Agentex AI Property
Agentex AI and its licensors retain all right, title, and interest in and to the services and all related intellectual property, including without limitation:
the Agentex AI name, brand, logos, and website content;
software, systems, interfaces, code, documentation, prompts, prompt libraries, workflows, templates, methods, designs, automations, internal tooling, know-how, and service architecture;
modifications, improvements, derivative works, and service-related materials created by or for Agentex AI.
No rights are granted to you except the limited right to use the services as expressly permitted by these Terms.
B. AI Outputs
Unless otherwise agreed in writing, and subject to your payment obligations and compliance with these Terms, Agentex AI grants you the right to use AI-generated outputs produced for you through the services for your internal business purposes and commercial operations.
However:
outputs may not be unique;
similar or identical outputs may be generated for other users;
we do not guarantee that outputs are non-infringing, accurate, fit for purpose, or protectable as intellectual property.
C. Reuse of General Learnings
Nothing in these Terms prevents Agentex AI from using generalized know-how, experience, ideas, workflows, techniques, prompts, templates, methods, and non-client-specific learnings gained in the course of providing services, so long as we do not improperly disclose your confidential information in violation of our obligations.
12. Confidentiality
To the extent either party discloses non-public business, technical, financial, operational, customer, or strategic information to the other, the receiving party will use reasonable care to protect that information and will not disclose it to third parties except as necessary to perform the services, comply with law, or enforce legal rights.
Confidential information does not include information that:
is or becomes public through no wrongful act,
was already lawfully known to the receiving party,
is independently developed without use of the disclosing party’s confidential information, or
is lawfully obtained from a third party without a duty of confidentiality.
You acknowledge that Agentex AI may use third-party vendors and subprocessors to provide services, and confidential information may be shared with those providers as reasonably necessary under appropriate business arrangements.
13. Privacy and Data Protection
Your use of the services is also subject to our Privacy Policy. By using the services, you acknowledge that Agentex AI may collect, use, and process information as described in the Privacy Policy and as reasonably necessary to provide the services.
You remain responsible for ensuring that your use of our services complies with applicable privacy, telecom, consumer protection, anti-spam, and data protection laws that apply to your business, your customers, your leads, and your communications practices.
If you use our services to process personal data belonging to your customers, leads, employees, or end users, you are responsible for providing any required notices and obtaining any required consents unless otherwise expressly agreed in writing.
14. Communications, Messaging, and Call Compliance
If you use Agentex AI for calls, SMS, chatbot outreach, appointment handling, customer support, or lead communications, you are solely responsible for compliance with all applicable laws, regulations, and industry rules relating to communications, including those involving:
consent to call, text, record, monitor, or automate communications;
telemarketing and anti-spam rules;
customer disclosures;
opt-out handling;
do-not-call compliance;
industry-specific restrictions; and
privacy and consumer protection obligations.
Agentex AI does not provide legal advice regarding your compliance obligations, and you should consult your own counsel before deploying AI-powered communications in regulated or high-risk environments.
15. Service Availability and Changes
We aim to provide reliable services, but we do not guarantee that the services will be uninterrupted, error-free, secure, or available at all times. Scheduled maintenance, third-party outages, internet failures, platform changes, or other factors may affect service performance.
We reserve the right to:
add, remove, modify, suspend, or discontinue features or services;
impose usage limits or technical restrictions;
change pricing, packaging, or supported features;
require updates to workflows, prompts, integrations, or implementations;
take measures to protect the integrity, security, or performance of our systems.
16. Suspension and Termination
A. By You
You may cancel your subscription or stop using the services at any time, subject to any minimum commitment period or written service agreement that may apply. Cancellation does not relieve you of payment obligations already incurred.
B. By Agentex AI
We may suspend, restrict, or terminate access to some or all services at any time, with or without notice, if:
you violate these Terms;
you fail to pay amounts due;
your use creates legal, reputational, technical, or security risk;
we suspect fraud, abuse, unlawful activity, or misuse;
required third-party providers restrict, suspend, or discontinue necessary service components;
we decide to discontinue a service or business relationship.
C. Effect of Termination
Upon termination or cancellation:
your right to use the affected services ends;
we may disable access to systems, automations, or deliverables associated with the terminated services;
unpaid fees and obligations accrued before termination remain due;
sections of these Terms that by their nature should survive termination will remain in effect, including intellectual property, confidentiality, disclaimers, limitations of liability, dispute terms, and payment obligations.
We may, but are not obligated to, retain or delete data after termination in accordance with our internal practices, legal obligations, and Privacy Policy.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
AGENTEX AI DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
WITHOUT LIMITING THE FOREGOING, AGENTEX AI DOES NOT WARRANT THAT:
THE SERVICES WILL PRODUCE ANY SPECIFIC COMMERCIAL RESULT, LEAD VOLUME, REVENUE, SAVINGS, OR BUSINESS OUTCOME;
AI OUTPUTS WILL BE ACCURATE, COMPLETE, USEFUL, LAWFUL, OR FIT FOR YOUR PARTICULAR USE CASE;
ANY COMMUNICATIONS, AUTOMATIONS, OR WORKFLOWS WILL PERFORM WITHOUT INTERRUPTION OR ERROR;
THE SERVICES WILL BE COMPATIBLE WITH EVERY THIRD-PARTY PLATFORM, SYSTEM, OR PROCESS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTEX AI AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTEX AI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO AGENTEX AI FOR THE APPLICABLE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE.
Some jurisdictions may not allow certain limitations or exclusions of liability, so portions of this section may not apply to the extent prohibited by law.
19. Indemnification
You agree to defend, indemnify, and hold harmless Agentex AI and its affiliates, owners, personnel, contractors, and service providers from and against any claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable legal fees) arising out of or related to:
your use of the services;
your Client Content, data, campaigns, prompts, calls, texts, automations, or business activities;
your violation of these Terms;
your violation of applicable law, regulation, or third-party rights;
claims by your customers, leads, employees, vendors, or end users arising from your use of the services.
20. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Mexico, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the services will be subject to the competent courts of Puebla, Mexico, unless Agentex AI elects another legally permitted forum or the parties agree in writing to an alternative dispute process.
Before filing a formal legal claim, the parties agree to attempt in good faith to resolve the dispute informally by written notice and discussion.
21. Changes to These Terms
We may update or modify these Terms from time to time. If we do, we will post the updated version on our website and update the Effective Date above. Changes become effective upon posting unless otherwise stated.
Your continued use of the services after updated Terms become effective constitutes your acceptance of the revised Terms.
22. Entire Agreement
These Terms, together with any proposal, invoice, service order, statement of work, Privacy Policy, and any other written agreement expressly incorporated by reference, constitute the entire agreement between you and Agentex AI regarding the services, unless superseded by a separate signed agreement.
If there is a conflict between these Terms and a separate signed written agreement between you and Agentex AI, the signed agreement will control to the extent of the conflict.
23. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be interpreted as closely as possible to reflect the original intent while remaining enforceable.
24. No Waiver
A failure by Agentex AI to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
25. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. Agentex AI may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
